WEBSITE & SERVICE TERMS AND CONDITIONS

Terms of Use. By using the webseoanalytics.com & wsadirectory.com websites (the “Website”) you agree to be bound by these Terms of Use (this “Agreement”), whether or not you are a free user, a free member (“Registrant”) or a paid subscriber (“Paid Member”) or an Advertiser or a customer of Web SEO Analytics. If you wish to become Registrant or   Member or make use of the Web SEO Analytics service (the “Service”), please read these Terms of Use. If you object to anything in this Agreement or the Web SEO Analytics' Privacy Policy, do not use the Website or the Service. This Agreement is subject to change by Web SEO Analytics at any time, effective upon posting on the Website, and your use of the Service after such posting will constitute acceptance by you of such changes. These terms of service govern the relationship between you and Web SEO Analytics.

Description of the Service. Web SEO Analytics provides users with access to a rich collection of resources, including by not limited to, search engine optimization tools, analysis tools, application program interfaces (APIs), site profile services, search analytics, web analytics reports, website lists, directories, blogs, user-generated-content, personalized content and industry surveys and opinion polls (the “Service”). The Service may also include certain communications from Web SEO Analytics, such as service announcements, administrative messages, promotional messages and survey invitations. These communications are considered part of Web SEO Analytics free registration and paid subscriptions. Unless explicitly stated otherwise, any new features which augment or enhance the current Service, including the release of new Web SEO Analytics properties, shall be subject to this Agreement. You are responsible for accessing to the Service, and that access may involve third-party fees (such as Internet service provider or airtime charges). The use of the Service induces that you must provide and are responsible for all equipment necessary to access the Service.

Beta Services. Web SEO Analytics may add new features to the Service that are described as “beta” (“Beta Features”). Beta Features will be considered part of the Service and all provisions of this Agreement relating to the Service will apply to the Beta Features. Registrants and Members acknowledge that Beta Features may contain untested, non-functional and/or partly functional features of the Service. If you select to use a Beta Feature, you do so at your own risk. Web SEO Analytics does not warrant that the Beta Features will be provided with due care. Do not rely on the Beta Features for any purpose whatsoever. Beta Features may harm and/or interrupt the regular running of your software and/or hardware.

Changes to the Service; Termination of the Service or Feature. If Web SEO Analytics in its discretion chooses to cease providing the current version of the Service or one of its features whether through discontinuation of the Service or by upgrading the Service to a newer version, the current version of the Service will be deprecated and become the Deprecated Version of the Service. Deprecated Features or Services might be removed on future versions of the Website. Do not rely on the Deprecated Features for any purpose whatsoever. If you select to use a Deprecated Feature, you do so at your own risk. Web SEO Analytics will issue an announcement if the current version of the Service will be deprecated. If any of the features of the Service is Deprecated, you shall not be entitled to a refund of any kind.
Web SEO Analytics reserves the right to cease providing in its discretion all or any part of the Deprecated Version of the Service immediately without prior notice if:

1. the Service relies on data or services provided by a third party partner a) with whom the relationship has expired or been terminated or b) who requires Web SEO Analytics to change the way it provides the data or services through the Service; or
2. Web SEO Analytics is required to do so by law; or
3. providing the Deprecated Version of the Service could create a substantial economic burden as determined by Web SEO Analytics in its reasonable good faith judgment; or
4. providing the Deprecated Version of the Service could create a security risk or material technical burden as determined by Web SEO Analytics in its reasonable good faith judgment.

API Services. Web SEO Analytics may provide Automatic Program Interface (API) to its proprietary data. This Agreement controls Web SEO Analytics’ API services. Access to the API may be suspended or terminated by Web SEO Analytics at any time and for any reason, with or without cause. If your access to the API is cancelled, you shall not be entitled to a refund of any kind.

In order to access any API, you must use a Secret API key. It is important not to share your secret key with anyone. You are responsible for all requests made with your secret key, whether you authorized them or not. Data provided by our APIs remain property of Web SEO Analytics or of the third party partners of Web SEO Analytics. You may not resell or redistribute the Web SEO Analytics Services or data you access via the Web SEO Analytics Services.

Users that do not own a White Label license, when displaying API data in digital form or print media (for example, client or management reports, pamphlets, proposals etc), you must include the following attribution to Web SEO Analytics in the footer of the document: "Data provided by WebSEOAnalytics.com". The font must be at least the same size as the surrounding font. Web SEO Analytics offers full reseller licenses to companies that want to white-label our API data and to customers who do not wish to include any type of attribution. Full resellers have the right to use our API data for as long as they have an active Full reseller license.

Electronic Agreement. This Agreement is an electronic contract that sets out the legally binding terms of your use of the Website and your relationship to the Service. This Agreement may be modified by Web SEO Analytics from time to time, such modifications to be effective upon posting by Web SEO Analytics on the Website. This Agreement includes Web SEO Analytics’ Privacy Policy, Web SEO Analytics’ Pricing & Plans, the Register and Sign Up Pages and any notices regarding the Website. By accessing the Website or becoming a Member, you accept this Agreement and agree to the terms, conditions and notices contained or referenced herein.

Electronic Form. By accessing the Website or becoming a Member, you consent to be bound from this Agreement provided to you in electronic form. In order to access and retain this electronic Agreement, you need to have access to the World Wide Web, either directly or through devices that access web-based content, and pay any service fees associated with such access. In addition, you must have all the equipment necessary to make such connection to the World Wide Web, including a computer and modem or other access device. Please print a copy of this document for your records. To retain an electronic copy of this Agreement, you may save it to any word processing program.

Offensive, Provocative, and Defamatory Content. Personal attacks, defamation, harassment, spam, offensive content, inappropriately aggressive behavior, or other illegal activities are prohibited.

Member Disputes. You are solely responsible for your interactions with other Web SEO Analytics Registrants and Members. Web SEO Analytics reserves the right, but has no obligation, to monitor disputes between you and other Members.

Proprietary Rights. All content included in this site, including, but not limited to, texts, graphics, audio clips, logos, buttons, images, digital downloads, data compilations, software, html code, xml code, flash code and icons, is property of Roi Mat Strategies Ltd and protected by international copyright laws. Web SEO Analytics owns and retains all proprietary rights on the Website and the Service. The Website contains the copyrighted material, trademarks and other proprietary information of Web SEO Analytics and its licensors. Except for that information which belongs to the public domain or for which you have been provided with written permission, you may not reproduce, copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information totally or partially. You may not post, distribute, or reproduce in any way any copyrighted material, trademarks or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights. All trademarks contained in the website are property of their respective owners.

Intellectual Property Rights of third Companies. All trademarks, logos and other distinctive features mentioned in the Website and/or in the Service to identify or define other companies, firms or entities, are intellectual property of the respective companies, firms or entities and are subject to the legal protection provided by EU regulations and international treaties. Users, Members, Registrants, as well as Roi Mat Strategies Ltd are obliged not to infringe in any way those companies, firms or entities’ intellectual property rights. They are further obliged to notify immediately any eventual infringement committed by another User, Member, Registrant or other entity.

No Resale or Redistribution of Service. Except as expressly authorized by Web SEO Analytics, you agree not to reproduce, duplicate, copy, sell, trade, resell, modify, create derivative works or exploit for any commercial purposes any portion of the Service or the Software, use of the Service or access to the Service or computer code that powers the Service (hereafter sometimes "Software").

Web SEO Analytics Directory. Web SEO Analytics maintains a Directory with the most popular publicly available websites of the Web. Only publicly available data are displayed in the reports. The process of indexing is automated and thus Webmasters cannot submit their websites. If you are a webmaster and you do not wish to be listed in the directory, you should send us an email to info [AT] webseoanalytics [DOT] com. You are not allowed to create automated web requests and extract any of the data that are available in the Directory.

Permissions. If you are interested in reproducing or using Web SEO Analytics free SEO Blog content in any way, please contact info [AT] webseoanalytics [DOT] com. In addition to the blog content, please contact info [AT] webseoanalytics [DOT] com to ask for permission to use any other content of the site, including tips, tool reports, guides, Publicly available content and Premium content.

Web SEO Analytics Blog. It is Web SEO Analytics’ policy to liberally grant permission to anyone interested in re-publishing our free SEO Blog content, on condition that written credit is systematically given to Web SEO Analytics and accurately links back to the original Web SEO Analytics post.

Copyright Abuse. We respond expeditiously to notices of claimed copyright infringement and terminate users or account holders who are “repeatedly infringers.” Notices must be sent via email to info [AT] webseoanalytics [DOT] com.

Privacy. Please see our complete Privacy Policy, which is incorporated into this Agreement. Further, you acknowledge, consent and agree that Web SEO Analytics may access, preserve and disclose your account information and content if required to do so by law or in a good faith belief that such access, preservation or disclosure is reasonably necessary to: (a) comply with a legal process; (b) enforce this Agreement; (c) respond to claims that any Content violates the rights of third parties; (d) respond to your requests for customer service; or (e) protect the rights, property or personal safety of Web SEO Analytics, its users and the public.

Referability. The Registrants, Members and Customers of the Service authorize Web SEO Analytics to use their name, business name, logo and comments in marketing documents, in Web SEO Analytics' website and in other marketing and promotional activities. At any time, the Registrants, Members and Customers of the Service can send a written notice to withdraw this authorization.

Account Access. You must provide your legal full name, a valid email address, your physical address, your telephone and your company name in order to complete the subscription process. You must provide a valid email address to become a free member. Entering your full name, company, job title and other information is not mandatory during registration, but you are obliged to complete your profile with all your valid information before using our services. Only one person may use your login – a single login shared by more users is not permitted. You are responsible for maintaining the security of your account and password. Web SEO Analytics cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

Age Requirements. This website’s content is intended for adults and we will not knowingly collect personal information from children under 13 years of age. If you are a parent or legal guardian of a child under age 13 who you believe has submitted personal information to this site, please contact us at info [AT] webseoanalytics [DOT] com immediately. You must be at least eighteen (18) years of age to subscribe as a Paid Member of Web SEO Analytics.com. Membership in the Service is void where prohibited. By using the Website, you represent and warrant that you have the right, authority and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement.

Unauthorized Users. You must be a human. Accounts registered by “bots” or other automated methods are not permitted.

Unauthorized Uses. You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service or Web SEO Analytics. You may not reverse engineer or reuse source code that is in public view. This includes any kind of javascript, css or html code. The code is Web SEO Analytics’ copyright. You shall not transmit any worms or viruses or any code of a destructive nature. You agree neither to modify the Software in any manner or form, nor to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Service. You agree not to access the Service by any means other than through the interface that is provided by Web SEO Analytics for accessing the Service. You acknowledge that the Service is not intended for permanent storage and agree not to use the Service for archiving or back-up purposes.

Blocking of IP Addresses. In order to protect the integrity of the Service, Web SEO Analytics reserves the right at any time in its sole discretion to block Registrants and Members from certain IP addresses from accessing the Website.

Registration and Subscription; Pricing. You may become a Registrant of the Service at no cost. As a Registrant, you will have the ability to participate in some, but not all, of the features and services available within the Service.
In order to access additional features and services, including the ability to use many of our tools, you must become a paying Member to the service by agreeing to enter into a subscription with us. Please see our Pricing & Plans page for a description of the current subscription plans and their prices (hereafter “Subscription Policies”).
Please note that the Subscription Policies that are disclosed to you when subscribing to the service are deemed part of this Agreement. For the purposes of this Agreement the term “Member” includes all paying subscribers, regardless of renewal term or price level, unless where its usage indicates otherwise. The Subscription Fee is payable in Euro (€) (including, if any, all applicable taxes).

Subscriptions

1. General. You agree to pay to Web SEO Analytics the subscription fee (“Subscription Fee”) specified in the Pricing & Plans page within the subscription Period (“Subscription Period”). The Subscription Period varies depending on the plan you sign up for.
2. Payment of subscriptions. All of our subscriptions are payable in advance for the entire period selected. By entering into this Agreement, you accept to pay ahead all monthly charges for the selected period.
3. Payment Method. A valid credit card is required in order to subscribe to the Service. Web SEO Analytics bills you through a secure online account or through PayPal (your “Billing Account”) for use of the Service. Web SEO Analytics has an SSL certificate that prohibits the interception of your sensitive data. Your complete billing information is not stored or transmitted via Web SEO Analytics servers. For your protection, our secure payment gateway partner stores your complete billing information. You agree to pay Web SEO Analytics for all charges at the prices then in effect for any use of the Service by you or other persons (including your agents) using your Billing Account, and you authorize Web SEO Analytics to charge your chosen credit card (your “Payment Method”) for the Service. You agree to pay using that selected Payment Method. If Web SEO Analytics does not receive payment from your Payment Method, you agree to pay all amounts due on your Billing Account on demand. Note that a purchase with the name "WWW.WEBSEOANALYTICS.COM" will appear in your bank statement.
4. Auto-Renewal of Your Subscription Period. You will be entitled to receive the Service only during the subscription period (“Subscription Period”) specified on your Billing Form. All subscriptions will be automatically renewed 1 day before the end of your subscription period until they are cancelled by you. You will not receive further notice of auto-renewal. Web SEO Analytics does not provide Auto Renewal services for all payment methods. In those cases you are therefore responsible for renewing your subscription(s) before the expiration date.
5. Recurring Billing. Recurring billing is available when you pay via credit card. If you elect to pay for the Subscription Period on a monthly or annually basis, then you will automatically be charged the Subscription Fee for the subsequent month unless you cancel the Service 1 day before the new Subscription Period begins. By entering into this Agreement, you accept responsibility for all recurring charges prior to cancellation. Web SEO Analytics may submit periodic charges (e.b., monthly) relating to your subscription without further authorization from you, until you cancel your subscription. Such notice will not affect charges submitted before Web SEO Analytics reasonably could act.
6. Current Information Required. You must provide current, complete and accurate information concerning your billing account. You must promptly update all information to keep your billing account current, complete and accurate (such as a change in billing address, country, vat code etc) and you must promptly notify Web SEO analytics if your payment method is canceled (e.g., for loss or theft) or if you become aware of a potential breach of security, such as unauthorized disclosure or use of your user name or password. Changes to such information can be made following the “my profile” page (you must be logged in to view this page). If you fail to provide Web SEO analytics any of the foregoing information, you agree that Web SEO analytics may continue charging you for any use of the service under your billing account unless you have terminated your subscription to the service.
7. Change in Amount Authorized due to VAT. The prices of Web SEO Analytics various services do not include VAT. In case you are an entity or individual subject to VAT according to the provisions under paragraph 11 below, you acknowledge that the price of the services that you chose to purchase will be ultimately charged with the respective VAT.
8. Refund Policy. Web SEO Analytics provides refunds only for subscription plans that offer a Trial Period. The refund window is equal to the Trial Period as it is described on our Pricing & Plans page. The Trials and Special Offers are available only to buyers that use directly their Credit Cards on our Payment System. The refund window can not exceed the 10 days from the first signing up of the subscriber. If a Free Trial Period is offered to the subscriber, then the subscriber is not entitled to a refund. Web SEO Analytics has the right to provide to new, first-time Members a full refund, if so requested, within the refund window. Web SEO Analytics will not provide refunds to persons who have previously opened other accounts, whether or not they are using the same or different user names, email addresses or billing information. Web SEO Analytics reserves the right to decline refund requests to persons who have extensively used the service during the refund period or to persons who have not provided a legitimate justification for a refund. Each person or business entity is entitled to only one refund. Successive sign-ups and refunds are prohibited. After the refund period, there shall be no refunds and your Subscription fee is non-transferable. Accordingly, if you decide to cancel your subscription to the Service during the Subscription Period and after the refund period, you will not receive a refund on the Subscription Fee(s) already paid to Web SEO Analytics.
9. Refund for Amount Paid: Any requested refund will be paid based on the actual amount that has been charged on your billing account, and not based on your account balance or on the number of WSA credits that you have purchased.
10. Cancellation. You are solely responsible for properly canceling your subscription. You can cancel your subscription at any time by going to your Subscription Area page and clicking the "Cancel" link of the particular subscription and confirming your choice. An email request to cancel your subscription is not considered cancellation. While we try to respond to email requests to cancel subscriptions, we may not receive or respond to all emails. Please do not assume your subscription has been canceled if you email site support. Use the “Cancel” Subscription link to cancel your subscription. All of your Content (text and files) will be immediately deleted from the Service upon cancellation. This information cannot be recovered once your subscription is cancelled. If you cancel your Membership prior to the end of the Subscription Period, then Web SEO Analytics will terminate immediately your access to the Service and cease billing you for the Service. However, you remain responsible for all charges incurred prior to Web SEO Analytics terminating access to your account/subscription. If you paid for subscriptions and you cancel your Membership, you will not be eligible for a prorated refund of any portion of the subscription fee paid for the then current subscription period. If you wish to cancel your account, you must first cancel all of your paid subscriptions and then send a deletion request via email to info [AT] webseoanalytics [DOT] com.
11. VAT Rates. The non-business individuals, businesses or organizations from outside the European Union are not charged with European VAT. If the customer is a non-business individual, business or organization from Cyprus, VAT will be applied at a rate of 18%. In case the customer is from a EU country other than Cyprus, VAT will be applied at a rate of 18% only if the customer has no VAT Code or if the submitted VAT Code is not valid. Our systems check the validity of EU VAT codes by using the VIES system and we consider a VAT code valid only if the VIES system is able to validate that code before the completion of the purchase. Customers from EU countries other than Cyprus, who wish to be charged with VAT at a rate of 0%, must be submitted to the VIES system and they must provide their Valid VAT Code. In the case where the EU customer is charged with VAT at a rate of 0%, the customer has the obligation to handle the VAT implications under self-assessment arrangements.
12. Reaffirmation of Authorization. Your non-termination or continued use of the Service reaffirms that Web SEO Analytics is authorized to charge your Payment Method. Web SEO Analytics may submit those charges for payment and you will be responsible for such charges. This does not waive Web SEO Analytcs’ right to seek payment directly from you. Your charges may be payable in advance, in arrears, per usage, or as otherwise described when you initially subscribed to the Service.
13. Promotions. Any promotion that provides Member-level access to the Service must be used within the specified time of the trial.
14. WSA Credits (“Credits”). Web SEO Analytics uses a credit based payment system internally and thus the purchases made through webseoanalytics.com and wsadirectory.com can be done by using credits. All subscription fees are paid at the beginning of the period. The price of 1 credit depends on the amount of credits that are purchased by the user. The price of credits purchased through webseoanalytics.com and wsadirectory.com will be the price specified in the Site at the time of your purchase. Upon presentation of credit card information, the purchaser warrants that he/she is the cardholder and that the billing information provided is accurate. By approving the purchase of the product or service, you authorize Web SEO Analytics to charge the designated credit card or PayPal account for the total amount of the purchase. The credits are not refundable, they cannot be transferred among different accounts and cannot be traded.
15. Coupon Codes. Coupon Codes are issued by Web SEO Analytics as a part of a special offer, they are valid for a predefined time period and usages. The Coupon Codes are only for personal use, they are not refundable, they are used only for promotional purposes, they are issued only by Web SEO Analytics and they must not be distributed, traded, sold, exchanged or purchased by third-parties.

Website Lists & Web Analytics Reports

Web SEO Analytics offers upon request Website lists, Web Analytics Reports & Sales Leads to Marketing Agencies, PR companies, Advertising firms and other businesses that wish to use our valuable data for their Marketing efforts.

1. Limited License. Upon your acceptance of this Agreement and full and proper payment of all amounts due to Web SEO Analytics, Web SEO Analytics grants you a personal, nontransferable and nonexclusive license to use the Web SEO Analytics Materials solely for your direct marketing, research, reference or customer prospecting purposes in strict accordance with the terms of this Agreement for a maximum period of (2) years, unless otherwise specified. Upon expiration or termination of this Agreement, you shall immediately discontinue your use of the Web SEO Analytics Materials. Data provided by Web SEO Analytics remain property of Web SEO Analytics or of the third party partners of Web SEO Analytics.
2. Your Responsibilities. Except to the extent specifically authorized in writing by Web SEO Analytics, you cannot share or sell the Web SEO Analytics Materials and you are responsible to Web SEO Analytics for any misuse of it. You agree and warrant that: a) you will not provide access to any part of the Web SEO Analytics Materials to any unauthorized party without the prior written consent of Web SEO Analytics; b) you shall use your best efforts to prevent the misuse and unauthorized use of the Web SEO Analytics Materials; c) you will not use any Web SEO Analytics Materials for consumer credit purposes, consumer insurance underwriting, employment purposes, tenant screening purposes, or any similar purposes; d) you shall give credit to Web SEO Analytics for all the Web Metrics & Data that are provided in the lists or reports and e) you shall indemnify and hold harmless Web SEO Analytics, its affiliated companies and their respective officers, employees and agents ("Indemnified Parties") against any loss, liability, damage, cost or expense (including, but not limited to, reasonable attorneys' fees and legal costs) suffered or incurred by any Indemnified Party, arising out of or in any way related to your misuse of the Web SEO Analytics Materials or the breach of this Agreement.
3. Compliance Monitoring and Enforcement. It is an express condition of this Agreement that in using the Web SEO Analytics Materials you and any authorized users shall fully comply with the terms of this Agreement and all applicable Cypriot laws and regulations, EU’s Directives and Regulations, as well as international agreements, including, but not limited to, laws and regulations regarding telemarketing, email, fax marketing, customer solicitation and privacy. Web SEO Analytics further reserves the right to review materials to be used by you in promotions to ensure that your use of the Web SEO Analytics Materials is both appropriate and in accordance with the permitted uses of the Web SEO Analytics Materials; however, Web SEO Analytics' failure to review any such materials shall not constitute Web SEO Analytics' acceptance of the materials or in any other way waive any rights Web SEO Analytics may have or limit any obligations you may have with regard to the use of the Web SEO Analytics Materials. Web SEO Analytics may also randomly monitor (through seeding and other means) your use of the Web SEO Analytics Materials to ensure that your use is in accordance with the permitted uses of the Web SEO Analytics Materials.
4. Refund Policy. Due to the nature of the data sold, you agree to pay in advance the fees of the Service and you agree that all sales are final and non-refundable. If you have any questions regarding our terms of use or refund policy, please call or email Web SEO Analytics before placing your order. By placing your order and submitting your information, you are entering into a binding purchase contract, by which you give full authorization to Web SEO Analytics to charge you in full for any and all products purchased from Web SEO Analytics. Moreover, you understand that any and all products purchased from this site, as well as any database or custom database or email list sold by Web SEO Analytics do not have any guarantee of response rate or accuracy.  
5. Exclusive Limited Warranty and Limitation of Liability. All web SEO analytics materials are provided on a strictly "as is" basis. Web SEO Analytics pays effort to control the correctness, comprehensiveness or completeness of the data provided through its services. Nevertheless, Web SEO analytics cannot assure or warrant the correctness, comprehensiveness or completeness of the SEO analytics materials and except as explicitly provided for below, web SEO analytics expressly disclaims any and all warranties of any nature, express, implied or otherwise, including but not limited to any implied warranties of merchantability, non-infringement, and/or fitness for a particular purpose. You expressly agree that web SEO analytics shall not be liable for losses, damages, or injuries of any kind, including but not limited to general, direct, special, incidental, and/or consequential damages caused in whole or in part by the use of the web SEO analytics materials whether such damages are asserted in an action brought in contract, in tort or pursuant to some other theory and whether the possibility of such damages was made known or was foreseeable or should this limited warranty fail of its essential purpose.

You agree to pay using that selected Payment Method. If Web SEO Analytics does not receive payment from your Payment Method, you agree to pay all amounts due on your Billing Account on demand.
7. Current Information Required. You must provide current, complete and accurate information concerning your billing account. You must promptly update all information to keep your billing account current, complete and accurate (such as a change in billing address, country, vat code etc) and you must promptly notify Web SEO analytics if your payment method is canceled (e.g., for loss or theft) or if you become aware of a potential breach of security, such as unauthorized disclosure or use of your user name or password. Changes to such information can be made following the “my profile” page (you must be logged in to view this page). If you fail to provide Web SEO analytics any of the foregoing information, you agree that Web SEO analytics may continue charging you for any use of the service under your billing account unless you have terminated your subscription to the service.
   
8. VAT Rates. The non-business individuals, businesses or organizations from outside the European Union are not charged with European VAT. If the customer is a non-business individual, business or organization from Cyprus, VAT will be applied at a rate of 18%. In case the customer is from a EU country other than Cyprus, VAT will be applied at a rate of 18% only if the customer has no VAT Code or if the submitted VAT Code is not valid. Our systems check the validity of EU VAT codes by using the VIES system and we consider a VAT code valid only if the VIES system is able to validate that code before the completion of the purchase. Customers from EU countries other than Cyprus, who wish to be charged with VAT at a rate of 0%, must be submitted to the VIES system and they must provide their Valid VAT Code. In the case where the EU customer is charged with VAT at a rate of 0%, the customer has the obligation to handle the VAT implications under self-assessment arrangements.

Modifications to Service. Web SEO Analytics reserves the right at any time to modify or discontinue, temporarily or permanently, parts of the Service with or without notice. You agree that Web SEO Analytics shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

Reliance on Content, Advice, Etc. Any advice that may be posted on the Website is for informational and entertainment purposes only and is not intended to replace or substitute for any professional, financial, legal, or other advice. If you have specific concerns or a situation arises in which you require professional advice, you should consult with an appropriately trained and qualified specialist. Web SEO Analytics does not: (i) guarantee the accuracy, completeness, or usefulness of any information on the Service, or (ii) adopt, endorse or accept responsibility for the accuracy or reliability of any opinion, advice, or statement made by any party that appears on the Website. Under no circumstances will Web SEO Analytics or its affiliates be responsible for any loss or damage resulting from your reliance on information or other content posted on the Website or transmitted to or by any Members.

Disclaimers of Warranties. The Website and the Service are provided “AS-IS” and on an “AS-AVAILABLE” basis. Web SEO Analytics expressly disclaims any warranty of fitness for a particular purpose or of non-infringement. Web SEO Analytics cannot guarantee any specific results from the use of the Website and/or Service. You agree that you are the sole responsible to evaluate and bear all risks associated with the use of any Website content and Services, including any reliance on the accuracy, completeness or usefulness of such content. In this regard, you acknowledge that you may not rely on any content created by Web SEO Analytics or submitted to Web SEO Analytics, including, but not limited to, information on the SEO Tool Reports, the SEO Blog, any APIs and all other parts of the Service. Use of the Website and the Services may occasionally result in technical malfunction, delay, misdelivery, or other problems with other systems, programs or computer hardware. Web SEO Analytics cannot and does not guarantee compatibility with other systems and hardware.

Third-Party Content. Certain content, products and services available via the Service may include third parties’ data and/or material. By using the Service you are required to comply with the terms of a third-party licensor agreement. Those terms may be supplied to you within the service or directly by the third-party licensor. In addition, Web SEO Analytics may provide links to certain third-party’s Websites. You acknowledge and agree that Web SEO Analytics is not responsible for examining or evaluating the content or accuracy of any such third-party material or Websites. Links to other Websites are provided solely as a convenience to you. Considering that Web SEO Analytics has no control over such sites and resources, you acknowledge and agree that Web SEO Analytics is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You agree that you will not use any third-party’s materials in a manner that would infringe or violate the rights of any other party, and that Web SEO Analytics is not in any way responsible for any such use by you.

Limitation of Liability. In no event will Web SEO Analytics be liable to you or any third person for any direct, indirect, consequential, exemplary, incidental, special or punitive damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from: (i) the use or the inability to use the Service; (ii) the cost of procurement of substitute goods and services resulting from your inability to access or obtain any goods, data, information or services through or from the Service; (iii) unauthorized access or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; or (v) any content posted on the Website or transmitted to Registrants or Members; or (vi) any inaccurate or out-of-date content produced by the tools or published in the guides or blog, or Website; or (vii) any other matter relating to the Service.

Indemnity by You. You agree to indemnify and hold Web SEO Analytics, its subsidiaries, affiliates, officers, agents and other partners and employees harmless from any loss, liability, claim or demand made by any third party due to or arising out of your use of the Service in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties and/or your negligent or willful acts and/or the violation by you of Web SEO Analytics’ or any third party’s rights, including, but not limited to, privacy rights, other property rights, trade secret, proprietary information, trademark, copyright or patent rights, as well as  claims for libel slander or unfair trade practices in connection with the use or operation of the Service.

No Third Party Beneficiaries. You agree that, except as otherwise expressly provided in this Agreement, there shall be no third party beneficiaries to this Agreement.

Interstate Nature of Communications on Web SEO Analytics Network. When you register or subscribe with Web SEO Analytics, you acknowledge that in using Web SEO Analytics services to send electronic communications (including but not limited to search queries, sending messages to the Web SEO Analytics blogs, uploading files and photos, running Web SEO Analytics tools and other Internet activities), you will be causing communications to be sent through Web SEO Analytics’ computer networks. As a result, and also as a result of Web SEO Analytics’ network architecture and business practices and the nature of electronic communications, even communications that seem to be intrastate in nature can result in the transmission of interstate communications regardless of where you are physically located at the time of transmission. Accordingly, by agreeing to this Agreement, you acknowledge that use of the service results in interstate data transmissions.

Term. This Agreement will remain in full force and effect while you use the Website and/or are a Member. You may cancel your Membership at any time, for any reason. Web SEO Analytics may terminate your Membership by sending notice to you at the email address you have provided when subscribing or to another email address that you may later provide to Web SEO Analytics. If Web SEO Analytics terminates your membership in this Service due to the fact that you breached this Agreement, you will not be entitled to any refund of unused Subscription Fees. All decisions regarding the termination of accounts shall be made in the sole discretion of Web SEO Analytics. Web SEO Analytics is not required, and may be prohibited, from disclosing a reason for the termination of your account. Even after your membership or subscription is terminated, this Agreement will remain in effect. All terms that by their nature may survive termination of this Agreement shall be deemed to survive such termination. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account. Web SEO Analytics reserves the right to refuse service to anyone for any reason at any time.

Jurisdiction and Choice of Law. This Agreement is governed by and interpreted in accordance with the laws of the Republic of Cyprus. Any dispute that may arise out of this agreement concerning the Website and/or the Service, as well as any other matter arising from them, shall be subject to the exclusive jurisdiction of the Courts of the Republic of Cyprus. Each party irrevocably waives any right it may have to object to any action being brought in those courts, to claim that the action has been brought in an incompetent forum or to claim that those courts do not have jurisdiction.

Other. The failure of Web SEO Analytics to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. The Terms of Service constitutes the entire agreement between you and Web SEO Analytics and govern your use of the Service, superseding any prior agreements between you and Web SEO Analytics (including, but not limited to, any prior versions of the Terms of Service).

 

ADVERTISING TERMS AND CONDITIONS

A. Display of Advertising Material

1. Web SEO Analytics may redesign its site in its sole discretion at any time. If any redesign materially and adversely affects the placement of one or more advertisements, or if Web SEO Analytics is otherwise unable to display such advertisements, Web SEO Analytics will work with the Advertiser to display the affected advertisements elsewhere in comparable areas of the Web SEO Analytics site.
2. The advertising inventory under this Insertion Order is for use solely by the Advertiser and may not be used by any third party.
3. Any guarantees are to impressions (as measured by Web SEO Analytics in accordance with its standard methodologies and protocols), not “click throughs”. Web SEO Analytics will provide Advertiser with standard usage information related to the advertisements. Advertiser may not disclose such information to any third party without Web SEO Analytics’ express prior written consent.
4. Web SEO Analytics may discontinue the display of advertisements if the total number of impressions for any specified display period is reached prior to the scheduled display stop date.
5. Advertisers must provide all necessary artwork and active URLs to Web SEO Analytics before purchasing the advertising space.
6. Web SEO Analytics will be entitled to reject or discontinue advertisements at any time. In such event, Advertiser will be responsible only for a pro-rata portion of payments due hereunder, based on impressions delivered (the “Pro-rata Payments”).
7. Advertisers shall bear full responsibility for all products or services offered, sold, or licensed through the advertisements or the Advertiser’s website. Advertiser will collect and pay all taxes related to the sale or licensing of such products or services.

B. Legal Terms & Conditions

1. License and Warranties. Advertiser hereby grants Web SEO Analytics the right to market, display, reproduce (including compression and temporary storage), distribute, perform, transmit and promote the advertisements together with any content or materials on any interactive site linked to the advertisements through the Web SEO Analytics website. Advertiser certifies that it has all necessary rights and permissions to offer, sell and/or license such products and services through the advertisements and the Advertiser’s website, and that the advertisements and the Advertiser’s website do not and will not violate any applicable laws or regulations or any third-party rights (including, without limitation, intellectual property rights), or contain any libelous or defamatory materials. Advertiser certifies that the advertisements and the Advertiser’s website will at all times comply with all standard, written policies applicable to Web SEO Analytics, including the Privacy Policy and advertising specifications.
2. Trademarks. Advertiser shall not use, display or modify Web SEO Analytics’ trademarks in any manner without the prior written consent of Web SEO Analytics.
3. Limitation of Liability; Disclaimer; Indemnification. (A) Except in connection with the confidentiality, solicitation, tax and indemnity provisions herein, damages under this agreement shall be limited to direct damages, (B) Web SEO Analytics does not make and specifically disclaims any representations or warranties, express or implied, and under no circumstances will Web SEO Analytics’ aggregate liability hereunder or in connection herewith (including, without limitation, in respect of the indemnity below) exceed the advertising fees actually paid by Advertiser to Web SEO Analytics hereunder, and (C) each party (“indemnifying party”) hereby agrees to indemnify, defend and hold harmless the other party and the officers, directors, agents, affiliates, distributors, franchises and employees of the other party from and against all claims, actions, liabilities, losses, expenses, damages and costs that may at any time be incurred by any of them by reason of any claims, suits or proceedings arising out of any material breach by indemnifying party of any duty, representation or warranty under these Terms and Condition.
4. Related Limitations and Covenants. Neither Web SEO Analytics nor its affiliates shall have any liability whatsoever by reason of error in any advertisement, beyond liability to give the advertiser or advertising agency credit for so much of the space occupied by the advertisement as is materially affected by the error, and its obligation to give such credit shall not apply unless it is notified of the inaccuracy within 48 hours following the posting error. Web SEO Analytics does not guarantee any given level of circulation, distribution, reach or readership for any advertisement. The advertiser and advertising agency jointly and severally assume liability for all content (including text representation, illustrations, updates and links to other internet content) of advertisements published and also assumes responsibility for any claims arising therefrom made against Web SEO Analytics or its affiliates, including all costs associated with defending any such claim. All advertising copy that may be mistaken by a reader as news, feature or other non-advertising materials must be clearly marked “advertisement”. Web SEO Analytics shall not be liable to the Advertiser for any technical malfunction, computer error or loss of data or other injury, damage or disruption to advertisements or any web sites. In the event an account is referred to a third party for collection, advertiser and advertising agency agree to pay all collection fees including attorneys’ fees and court costs incurred to effect collection.

C. Solicitation; Privacy Policy; User Information

1. Advertiser shall not send unsolicited, commercial email or other online communications (e.g., “spam”) through or into Web SEO Analytics and shall comply with all standard Web SEO Analytics bulk email policies.
2. Advertiser shall ensure that its collection, use and disclosure of information obtained from Web SEO Analytics users under this Insertion Order complies with all applicable laws, regulations and privacy policies.
3. Advertiser shall not disclose such user information to any party, nor shall Advertiser use or allow any other party to use such user information in any manner that is or could reasonably be expected to be used by or on behalf of any product or service competitive with Web SEO Analytics. This section shall survive the completion, expiration, termination or cancellation of this Insertion Order for a period of two (2) years.

D. Termination

1. Either party may terminate this Insertion Order in the event of a material breach of this Insertion Order by the other party, which remains uncured after ten (10) days written notice thereof. In addition, Web SEO Analytics may terminate this Insertion Order upon a material breach by Advertiser of any other agreement between the parties which is not cured within cure period set forth in such agreement. If Web SEO Analytics terminates this Insertion Order due to Advertiser’s material breach of any requirement of this Insertion Order or of any other written agreement with Web SEO Analytics, all of Advertiser’s payment obligations hereunder shall survive such termination. If Advertiser terminates this Insertion Order due to Web SEO Analytics’ material breach of this Insertion Order, Advertiser will be responsible only for the Pro-rata Payments.
2. Web SEO Analytics may terminate this Insertion Order at any time for any reason. In such event, Advertiser will be responsible only for only the Pro-Rata Payments.

E. Miscellaneous

1. All of the Advertising fees are payable in advance for the entire period selected. By entering into this Agreement, you accept to pay ahead all monthly charges for the selected period.
2. This Insertion Order sets forth the entire agreement between Advertiser and Web SEO Analytics with respect to the transactions set forth herein and supersedes any and all prior agreements of Web SEO Analytics or Advertiser with respect to such transactions. If an advertising agency signs this Insertion Order on behalf of Advertiser, the agency thereby represents and warrants that it has full authority to bind Advertiser to the terms of this Insertion Order and that it will ensure that Advertiser complies with all such terms.
3. Advertiser shall not make any assignment of this Insertion Order or any rights benefits or obligations hereunder (including, without limitation, by way of merger or consolidation) without the prior written consent of Web SEO Analytics. In the event of an assignment, this Insertion Order shall be fully binding upon, inure to the benefit of and be enforceable by the parties hereto and their respective successors and assigns.
4. If there is any dispute arising out of the Website and/or the Service, by using the Website, you expressly agree that any such dispute shall be governed by the laws of Laws of Cyprus. Our Agreement with you is governed by, and interpreted in accordance with, the Laws of Cyprus.  The Courts of Cyprus shall have exclusive jurisdiction in relation to any claim, The dispute or difference concerning our Agreement and terms of business and any matter arising from or under them.  Each party irrevocably waives any right it may have to object to any action being brought in those courts, to claim that the action has been brought in an inconvenient forum, or to claim that those courts do not have jurisdiction.
